Terms of Service

Effective Date: February 17, 2026

Legal Entity: 5th Bridge Data Technologies LLP

This Agreement is a legally binding contract between 5th Bridge Data Technologies LLP ("Licensor," "we," "us," or "our") and the subscribing entity or organization ("Customer," "Company," or "you"). It governs access to and use of the 1stAskHR platform, including website, software applications, AI models, APIs, and associated services (collectively, the "Service").

Definitions and Interpretations

Authorized User: Any individual (employee, contractor, agent, or consultant) authorized by the Customer to access the Service under the Customer account.
Customer Data: All data, text, files, and information submitted by the Customer or its Authorized Users to the Service.
Output: Responses, text, or data generated by the Service's AI models in response to Customer inputs.
Documentation: Official user guides and technical documentation provided by the Company.

Terms Applicable to the Customer (the Company)

1. License Grant and Scope of Use

Limited License: Subject to payment of applicable fees and compliance with these Terms, we grant a limited, non-exclusive, non-transferable, and non-sublicensable right to access the Service for internal business purposes.
Per-User Licensing Model: The Service is licensed strictly on a per-user basis.
Distinct Accounts: Each Authorized User must maintain a unique login credential. Account sharing or credential pooling is prohibited.
B2B Onboarding Requirement: Access is granted only after a Company signs up and pays for a subscription. Individual users cannot register independently.

2. Payment Terms and Merchant of Record

Currency and Billing: The Service is billed on a subscription basis in U.S. Dollars (USD) or local currency depending on selection.
Direct Web Subscriptions: For direct signups on 1stAskHR.com, Dodo Payments acts as the Merchant of Record. Privacy terms:Dodo Payments Privacy Policy.
Marketplace Subscriptions: For Microsoft/Azure Marketplace purchases, billing and payment are governed by Microsoft terms.Azure Customer Agreement.
Taxes: Fees are exclusive of taxes. The Customer is responsible for GST, VAT, or sales tax applicable in its jurisdiction.
No Refunds: Except where required by law, fees are non-refundable and pro-rated refunds are not offered for early termination.

3. Data Processing and GDPR Compliance

Controller vs Processor: For GDPR purposes, the Customer is the Data Controller and 5th Bridge Data Technologies LLP is the Data Processor.
Data Residency: Customer Data is stored and processed on Microsoft Azure servers located in the United States. Privacy terms:Microsoft Privacy Statement.
Sub-processors: We use OpenAI, Google (Gemini), Pinecone, and Vercel. Each processor is subject to its own privacy terms:OpenAI,Google,Pinecone, andVercel.
Analytical Tools: We use Vercel Analytics and Apollo for lead attribution and analytics without cross-site tracking cookies. Privacy terms:Vercel,Apollo.
Data Deletion: On valid deletion request, a 30-day grace period applies before permanent purge from active systems.
Portability: Automated data portability tools are not provided unless legally required. Manual requests can be sent tosupport@1staskhr.com.

4. Strict Prohibitions and PHI

No Health Information: The Service is intended for HR-related data. Uploading or processing Protected Health Information (PHI) is prohibited.
Indemnification: Customer indemnifies and holds us harmless from claims, damages, or losses arising from unauthorized PHI uploads.

Terms Applicable to Authorized Users (End-Users)

1. Acceptable Use Policy

No Reverse Engineering: Users must not decompile, reverse engineer, or attempt to extract source code or underlying models.
No Competitive Use: Service use to build a competing AI-driven HR product or service is prohibited.
No Automated Abuse: Automated scraping, crawling, jailbreaking, or bypassing safety filters is prohibited.
Content Restrictions: Generating discriminatory, hateful, or illegal content is prohibited.

2. AI Disclaimer

Probabilistic Nature: The Service uses statistical AI models and may produce inaccurate or culturally inappropriate responses.
Not Professional Advice: AI output does not constitute legal, financial, or professional HR advice. Output should be reviewed by qualified professionals before action.
Mandatory Review: Users are responsible for reviewing outputs for legal and policy compliance before relying on them.
Escalation Policy: Query escalation to internal HR may be available, but we provide no SLA for human response times.

General Legal Provisions

1. Ownership and Usage

Customer Ownership: You retain all rights and ownership in your Customer Data.
License to Improve: You grant us a worldwide, royalty-free license to use anonymous, aggregated usage data to improve our models. This excludes personally identifiable employee data.

2. Limitation of Liability

Indirect Damages: We are not liable for indirect, consequential, or punitive damages, including loss of profits.
Aggregate Cap: Total aggregate liability does not exceed the total amount paid by the Customer in the twelve (12) months preceding the claim.

3. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of India.
Jurisdiction: Subject to arbitration, courts in Hyderabad, Telangana, India (including the High Court of Telangana) have exclusive jurisdiction.
Arbitration: Disputes are finally resolved by arbitration in Hyderabad, India under the Arbitration and Conciliation Act, 1996, in English.

4. Termination

Termination: Termination requests may be made anytime. Service remains active through the current paid billing cycle.
